TL;DR: Real estate tokenization is possible in the UAE through several regulatory routes: the government-backed DLD pilot program (limited access), a private SPV structure licensed under VARA (Category 1 VA Issuance) or ADGM (Digital Securities), or where the token is structured as a security - under the federal Capital Markets Authority (CMA) framework. Fractional ownership, minimum investment thresholds, and ownership caps differ significantly between these routes.
Two Routes to Tokenized Real Estate
Government pilot (direct title tokenization) through the Dubai Land Department's Prypco Mint platform
Launched in May 2025 in partnership with VARA, the Central Bank of the UAE, and the Dubai Future Foundation, under the Real Estate Sandbox. Zand Digital Bank serves as the banking partner.
  • Minimum investment: AED 2,000
  • Ownership cap: no investor may hold more than 20% of a single property through tokens
  • Access: currently limited to Emirates ID holders (foreign investor access announced but not yet launched)
  • DLD projection: the tokenized real estate market could reach AED 60 billion by 2033 (~7% of all Dubai real estate transactions)
Private SPV structure the practical route for most developers and investors; the property is held by a special purpose vehicle, and tokens represent shares in that SPV rather than direct title
  • A special purpose vehicle is incorporated to hold legal title to the property.
  • Tokens are issued representing shares/economic rights in the SPV, not the property title itself.
  • If issued in Dubai mainland, the tokens are classified as ARVA (Asset-Referenced Virtual Asset) and require a VARA Category 1 VA Issuance license.
  • If structured through ADGM, the tokens are classified as Digital Securities under FSRA rather than virtual assets, a distinct regime with different capital and governance requirements.
