01Client
A fintech group comprising a crypto company in the BVI and a payment provider in the UAE serving clients in international markets. Each company operates under its own licence, regulatory framework and revenue model.
02Objective
Bring the companies under a single ownership and management structure. The founders wanted to consolidate profits from across the group and decide centrally how to allocate them, for example to reinvest in existing businesses, fund new ventures or distribute profits to the owners.
03Challenge
The companies operate in different jurisdictions and are exposed to different operational and regulatory risks. The structure needed to bring them under common ownership while preserving the independence of each operating company, protecting the group’s key assets and keeping future profit distributions straightforward.
04Solution
A holding company was established above the operating entities. The operating companies distribute dividends to the holding company, where the owners decide how the capital is allocated. This made it possible to centralise capital allocation while each operating company retains its own licence and liabilities.
05Process
- Prepared the holding company’s business plan.
- Submitted the application and incorporated the holding company.
- Transferred ownership of the operating companies to the holding company.
The entire process took approximately 2–3 weeks.
06Result
The holding company was incorporated and the operating businesses were transferred into a single ownership structure. Dividends generated by the group companies can now be accumulated at holding-company level and used to fund existing businesses, launch new projects or be distributed to the owners.
Key takeaway
For founders who own several licensed businesses across different jurisdictions, a holding structure creates a single centre for ownership and capital allocation while keeping operational risks and liabilities within the individual operating companies.
